Terms of Service
These Terms of Service ("Terms") are a contract between Bid Intelligence ("Bid Intelligence", "we", "us") and the business that accesses the Bid Intelligence website and application (the "Service"). By requesting access to, or using, the Service, you agree to these Terms on behalf of your organization ("Customer", "you"). If you do not agree, do not use the Service.
1. The Service
Bid Intelligence provides bid-analysis and estimating-intelligence tools for construction contractors, including benchmarking against publicly published state transportation bid data. We may update, improve, or change features over time.
2. Accounts & access
Access is provisioned per firm ("workspace"). You are responsible for your users, for keeping credentials confidential, and for all activity under your accounts. Notify us promptly of any unauthorized use. We may suspend access for non-payment, suspected abuse, or violation of these Terms or our Acceptable Use Policy.
3. Customer data & ownership
As between the parties, you own the bid, project, and pricing data your firm enters or uploads ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide and improve the Service and as described in our Privacy Policy. Government-published bid data (e.g., state DOT bid tabulations) is public information and is not Customer Data. We maintain strict per-firm isolation so your private Customer Data is not exposed to other firms.
4. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms.
5. Fees
Paid plans, pricing, and billing terms will be set out in an order, plan selection, or separate agreement. Unless stated otherwise, fees are stated in U.S. dollars and are non-refundable except as required by law.
6. Intellectual property
The Service, including its software, design, and content (excluding Customer Data and public government data), is owned by Bid Intelligence and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law.
7. Confidentiality
Each party may receive confidential information of the other. Each party will protect the other's confidential information and use it only to perform under these Terms.
8. Disclaimers
The Service and all analytics, benchmarks, and predictions are provided "as is" for informational purposes and do not constitute bidding, financial, legal, or professional advice. We do not warrant that the Service or any output will be accurate, complete, error-free, or fit for a particular purpose. You are solely responsible for your bids and business decisions. To the maximum extent permitted by law, we disclaim all implied warranties.
No government affiliation. Bid Intelligence is an independent service and is not affiliated with, endorsed by, sponsored by, or otherwise connected to the Florida Department of Transportation (FDOT) or any other government agency. FDOT bid tabulations, historical cost averages, and related materials are public records obtained from official government sources; we reference the FDOT name and any agency or contractor names solely to identify the source of that public information. All trademarks and marks are the property of their respective owners.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.
10. Indemnification
You will defend and indemnify Bid Intelligence against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law.
11. Term & termination
These Terms apply while you use the Service. Either party may terminate as set out in the applicable order or for material breach not cured within a reasonable period. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited window and then delete it per our retention practices.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Florida.
13. Changes
We may update these Terms. For material changes we will provide notice as required. Continued use after changes take effect constitutes acceptance.
